These Terms of Service ("Terms") are a binding agreement between you and Shopsadiq Ltd, an entity registered in the Abu Dhabi Global Market (ADGM), Abu Dhabi, United Arab Emirates, trading as droplinked ("droplinked", "we", "us", or "our"). They govern your access to and use of the droplinked platform, websites (including droplinked.com), applications, APIs, and related tools and services (together, the "Services"). By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

droplinked is a commerce-enablement platform. It provides technology that lets merchants create and operate online storefronts, list and manage products, run affiliate and agentic-commerce programs, and use related on-chain attestation and product-provenance features, and that lets customers and authorized agents discover and purchase products offered by merchants. droplinked provides the technology and tools; it does not itself manufacture, sell, or supply the products offered by merchants.

These Terms apply to everyone who uses the Services, including visitors to our sites, merchants who create storefronts or list products ("Merchants"), and customers or authorized agents who transact through the Services ("Customers"). You are responsible for your account and for all activity under it. Please keep a copy of these Terms for your records.

NOTICE: These Terms contain disclaimers of warranties and limitations of liability. Please read them carefully.

Binding Effect; Changes
By using the Services you agree to these Terms, as we may update them from time to time. When we make material changes we will post the updated Terms and update the effective date. Your continued use of the Services after an update means you accept the updated Terms; if you do not agree, stop using the Services. You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.

droplinked's Role; No Party to Merchant–Customer Transactions
droplinked provides a technology platform that connects Merchants and Customers. droplinked is not the seller, buyer, importer, or a party to any transaction between a Merchant and a Customer. The contract of sale for any product is solely between the Merchant and the Customer. Merchants are solely responsible for their products, listings, pricing, descriptions, inventory, fulfillment, shipping, returns, refunds, warranties, taxes, and for complying with all laws applicable to their business. droplinked does not control and is not responsible for the quality, safety, legality, or availability of products, or for a Merchant's or Customer's performance. Any dispute arising from a transaction is between the Merchant and the Customer.

Payments
Payments for products are processed by independent third-party payment service providers ("PSPs") on their own hosted pages and under their own terms. droplinked does not collect, store, or process payment card numbers or other cardholder data, is not within the payment-card (PCI) data path, and is not a payment processor, acquirer, card issuer, money transmitter, e-money institution, or bank. droplinked does not hold Customer funds or Merchant settlement balances, and does not issue any card. Where the Services support settlement in digital assets or stablecoins, those transfers occur on third-party blockchain networks through wallets and providers you or the Merchant select; droplinked does not custody those assets. Your use of a PSP or wallet is subject to that provider's terms, and droplinked is not responsible for their acts or omissions.

On-Chain and Blockchain Features
Certain Services record attestations, product-provenance data, or transaction references on public blockchain networks. Those records are provided for information and provenance only, are not financial, investment, or legal advice, and do not represent any security or guarantee of value. Blockchain transactions are generally irreversible and are settled by third-party networks that droplinked does not operate or control. droplinked is not responsible for network availability, fees, forks, wallet or key management, or losses arising from blockchain interactions.

Accounts and Security
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at support@droplinked.com if you believe your account has been compromised. We may suspend or limit access to the Services if we reasonably believe they are being used improperly or in breach of these Terms.

Intellectual Property; Licence; Restrictions
The Services, and all software, text, graphics, and other materials we provide (excluding Merchant and User Content), are the property of droplinked or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Services; reverse engineer, decompile, or disassemble the Services or attempt to derive their source code; use the Services to build a competing product; remove any proprietary notices; or use our trademarks or logos without our prior written permission. Your use must comply with all applicable laws.

Merchant and User Content
Merchants and Users are solely responsible for the content they submit, upload, or display through the Services, including storefront content, product listings, images, and descriptions ("Content"), and represent that they have the rights to it. You grant droplinked a non-exclusive, worldwide licence to host, store, display, and distribute your Content as needed to operate and promote the Services. droplinked does not endorse and is not responsible for Merchant or User Content and may remove Content that violates these Terms or applicable law.

Acceptable Use
You agree not to: use the Services for any unlawful, fraudulent, or infringing purpose; sell prohibited, counterfeit, or unsafe goods; violate the intellectual-property or other rights of others; probe, scan, or test the vulnerability of, or breach the security of, the Services or any related system; interfere with or disrupt the Services (including by malware, overloading, or flooding); access data or accounts not intended for you; harvest others' data by automated means; or send unsolicited or deceptive communications through or about the Services. Violations may result in suspension or termination and may carry civil or criminal liability.

Third-Party Sites, Merchants, and Services
The Services may link to, or interoperate with, third-party sites, Merchant storefronts, PSPs, wallets, and integrations that droplinked does not control. We make no representations about, and accept no responsibility for, their content, accuracy, availability, or practices, and your use of them is at your own risk and subject to their terms.

No Professional Advice
The Services and any information provided through them are for general and informational purposes only and do not constitute investment, financial, tax, legal, or accounting advice. You should obtain your own professional advice before making decisions.

Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. droplinked DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT OR THIRD-PARTY DATA IS ACCURATE OR COMPLETE. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SERVICES.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, droplinked (INCLUDING SHOPSADIQ LTD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, ANY MERCHANT–CUSTOMER TRANSACTION, ANY PRODUCT, OR ANY THIRD-PARTY PSP, WALLET, OR BLOCKCHAIN NETWORK, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, droplinked's TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO droplinked FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Any reliance on information provided through the Services is at your own risk.

Indemnification
You agree to indemnify, defend, and hold harmless droplinked (Shopsadiq Ltd) and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, and costs (including reasonable legal fees) arising from your use of the Services, your Content, your products or transactions (if you are a Merchant), your violation of these Terms, or your infringement of any right of any person or entity.

Suspension and Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or applicable law, if required for security or legal reasons, or if we discontinue the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

Changes to the Services
We may modify, suspend, or discontinue any part of the Services at any time. We are not liable to you or any third party for doing so.

Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws applicable in the Abu Dhabi Global Market (ADGM), United Arab Emirates, without regard to conflict-of-laws rules. You irrevocably submit to the exclusive jurisdiction of the courts of the ADGM.

Language
These Terms may be made available in other languages for your convenience. If there is any conflict or inconsistency, the English version governs.

Severability; Waiver; Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and droplinked regarding the Services.
